Consequences of Incorrect Entity Names on Queensland Property Contracts

When it comes to Queensland property law, even a small mistake in a contract can create big problems. One of the most common errors we see at GM Law is the use of incorrect entity names on contracts. For real estate agents, this is more than a paperwork issue – it can lead to finance refusals, stamp duty complications, and even failed settlements.

Below, we outline why getting this right is essential, and how mistakes can affect your clients and your reputation as an agent.

Director of GM Law, Gerard Pagliaro shares his thoughts on this matter:

1. Importance of Using the Correct Legal Names

Accuracy at the contract stage is critical. A trust, for example, is not a legal entity. It is the trustee – whether an individual or a company – that enters into the contract. So instead of writing “The Smith Family Trust,” the correct buyer name may be “John Smith Pty Ltd as trustee for the Smith Family Trust.”

Other common pitfalls include:

  • Leaving out “Pty Ltd” from a company name.
  • Misidentifying an individual instead of their corporate entity.
  • Incorrectly listing trading names, which are not legal entities.

As an agent, confirming correct details upfront (through a company search, trust deed, or driver’s licence) saves significant headaches later.

2. Problems That Arise at Settlement

Mistakes with names on contracts don’t just look sloppy – they have real, costly consequences at settlement.

  1. Finance Approval
Banks and lenders only advance funds to the correct borrower. If the entity on the contract doesn’t match the finance approval, buyers may need to re-apply, risking finance deadlines under the REIQ contract.
  2. Stamp Duty
The Queensland Revenue Office (QRO) assesses transfer duty against the legal purchaser. Incorrect entity names often mean reassessment, penalties, and interest. This can add thousands to a buyer’s costs.
  3. Titles Office Registration
The Land Titles Office requires an exact match of names. Even small errors – like missing initials or “Pty Ltd” – can result in rejection, delaying registration and settlement.

For agents, these issues can damage relationships with both sellers and buyers, and lead to disputes or lost commissions.

3. Risk of Delays, Breaches, or Contract Re-Execution

The consequences of incorrect names can snowball quickly:

  • Delays: Fixing the mistake often involves rectification deeds, amended finance approvals, or new duty assessments.
  • Breach of Contract: Buyers may face termination and loss of deposit if settlement is delayed. Sellers relying on simultaneous settlements may also be left exposed.
  • Contract Re-Execution: In some cases, the only option is to rescind and re-sign. This is extremely risky if the market shifts or another buyer emerges.

For real estate agents, this creates stress, reputational risk, and potential liability if clients claim the contract was mishandled.
